EQUAL FLAVOR SWEEPSTAKES OFFICIAL RULES
THE FOLLOWING PROMOTION IS VALID ONLY IN THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA ("D.C."). IT SHALL BE CONSTRUED AND EVALUATED ONLY IN ACCORDANCE WITH UNITED STATES LAW. DO NOT PROCEED IF YOU ARE NOT 18 OR OLDER AND A LEGAL RESIDENT OF AND CURRENTLY LOCATED IN THE 50 UNITED STATES OR D.C.

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

Merisant US, Inc. ("Sponsor") is offering this Sweepstakes ("Sweepstakes"). VOID OUTSIDE THE 50 UNITED STATES AND D.C. AND WHERE PROHIBITED.

1. This Sweepstakes is open to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older. Employees, officers and directors of Sponsor, its affiliates, subsidiaries, agents, agencies, promotion and advertising agencies, distributors, retailers and promotion partners  and members of the immediate families (defined for these purposes as parents, spouse, children, siblings, grandparents, and each of their respective spouses) or households (whether related or not) of any of the above are NOT eligible to participate.  Proof of eligibility will be required.

2. The Sweepstakes begins on 9/24/05 and ends on 4/1/06 (the "Sweepstakes period").  Twenty seven (27) weekly Sweepstakes (the "weekly Sweepstakes") will be held during or in connection with the Sweepstakes period. Each weekly Sweepstakes begins on Saturday and ends on the following Friday, with the exception of the last weekly Sweepstakes, in which case the entry deadline is the following Saturday.

3. Online entry: Online entry begins at 12:00:00 am Eastern Time ("ET") on 9/24/05. To enter online, complete an online entry form with all required information at http://www.equal.com/flavors and submit as instructed. Please note that voting for a "favorite flavor" is optional. All weekly entries must be received between 12:00:00 am ET on Saturday and 11:59:59 pm ET on the following Friday (with the exception of the last weekly Sweepstakes, in which case entries must be received by 11:59:59 pm ET on the following Saturday, 4/1/06).  By opting-in to specific offers from Sponsor, entrant agrees to receive additional email communication from the Sponsor. If you do not want to be contacted by the Sponsor for future promotional purposes, please do not check the opt-in box on the online entry form. Sponsor reserves the right to void all online entries made through any robotic, automatic, mechanical, programmed or similar entry duplication method and to disqualify any individual using such a method.

4. Mail-in entry: To enter by mail, hand-print your name, address (no P.O. Boxes allowed), Zip Code, age, daytime phone number, and e-mail address (if you have one) on a 3" x 5" card or piece of paper and mail it in a # 10, business-sized envelope to: Equal Flavor Sweepstakes, P. O. Box 6159, Buffalo Grove, IL 60089-6159. Mailed entries must be postmarked between 9/24/05 and 4/1/06, inclusive, and will be entered into the appropriate weekly Sweepstakes depending on the date on which the entry is received. Entries received between Saturday and the following Friday will be entered into that week's Sweepstakes. For purposes of the last weekly Sweepstakes, all mail-in entries postmarked by 4/1/06 and received by 4/8/06 will be included in that Sweepstakes.   Each entry must be sent in a separate envelope.  No mechanically reproduced, photocopied or computer-generated mail-in entries allowed.

5. Special Event Entry: You may also enter the Sweepstakes by visiting the Equal tent at the following America's Walk for Diabetes events and completing and submitting an official entry form (while supplies last): Atlanta, GA on 9/24/05; Chicago, IL on 9/25/05; Los Angeles, CA on 9/25/05; Philadelphia, PA on 10/2/05; Tampa, FL on 10/8/05; Boston, MA on 10/15/05; New York, NY on 10/16/05; Orlando, FL on 11/5/05; Dallas, TX on 11/5/05; and Houston, TX on 11/19/05. All entries must be submitted by the close of each event. Your entry will be included in the appropriate weekly Sweepstakes corresponding to the event date, and all eligible non-winning Special Event entries will also be included in the Grand Prize drawing. Only official entry forms may be used to enter at the events. No mechanically reproduced or photocopied entries allowed.

6. Limit one (1) entry per household for each weekly Sweepstakes, regardless of method of entry. Entries received in excess of this limit will be deemed ineligible for the weekly Sweepstakes and for the Grand Prize drawing. Entries will not rollover into subsequent weekly drawings; however, all eligible non-winning entries received throughout the entire Sweepstakes period will be included in the Grand Prize drawing.  See further details below regarding the Weekly and Grand Prize drawings. Proof of submission of an entry will not be deemed proof of receipt by Sponsor or Administrator. All incomplete or otherwise non-conforming entries will be disqualified. All entries become Sponsor's property and will not be returned.

7. With respect to mail-in and Special Event entries: Sponsor is not responsible for lost, stolen, mutilated, illegible, incomplete, late, damaged, misdirected or postage-due mail or entries, or for entries submitted in a manner that is not expressly allowed under these rules; all such entries will be disqualified.  With respect to online entries: Online entrants must have a valid e-mail address. In addition, in the event of a dispute, online entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" means the natural person who was assigned the e-mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Potential winner may be required to provide proof to Sponsor that he/she is the authorized account holder. Sponsor and Administrator are not responsible for: (i) electronic transmissions or entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected or not received by Sponsor or its agents for any reason, (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of entries, or for destruction of or unauthorized access to, or alteration of, entries, (iii) failed or unavailable hardware, network, software or telephone transmissions, damage to entrants' or any person's computer and/or its contents, or causes beyond Sponsor's reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Sweepstakes, (iv) incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error, or (v) any entries submitted in a manner that is not expressly allowed under these rules; all such entries will be disqualified.  If for any reason this Sweepstakes cannot be executed as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of this Sweepstakes, or if this Sweepstakes is compromised or becomes technically corrupted in any way, electronically or otherwise, Sponsor reserves the right to terminate the online portion of this Sweepstakes, and to select the winners by random drawing from among all eligible, non-suspect online entries received as of the termination time/date, combined with all mail-in and special event entries received through the scheduled entry periods.  Sponsor reserves the right, at its sole discretion, to disqualify and prosecute any individual who tampers with or attempts to tamper with the entry process or who enters using any automatic or programmed entry duplication method that is prohibited under these rules.  CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR OTHERWISE CORRUPT OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS.  SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY, PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. By entering, all entrants agree to be bound by these Official Rules.

8. Prizes: The following prizes will be awarded: One (1) Grand Prize: $10,000 cash. Twenty seven (27) weekly Prizes: Each weekly prize will consist of one (1) Apple 6 GB iPod Mini (model # M9801LL/A). Approximate Retail Value ("ARV"): $249 each. Total ARV of all prizes: $16,723. If a potential winner cannot accept prize as stated, prize will be forfeited and may be awarded to an alternate winner. Limit one (1) prize per household.

9. Odds of winning a weekly Prize depend on the number of eligible entries received from all entry methods combined for each weekly drawing, in accordance with these Rules. Odds of winning the Grand Prize depend on the total number of eligible non-winning entries received from all entry methods combined for all weekly Sweepstakes drawings combined. Prizes may not be transferred, assigned, redeemed for cash or substituted, except as provided herein. The Sponsor may substitute a prize with one of equal or greater value in the event the stated prize becomes unavailable. Income taxes on prizes are the sole responsibility of the winners.  All prizes will be awarded provided they are properly claimed in accordance with these rules.

10. On or around 4/14/06, David Kessler & Associates, Inc., the Sweepstakes administrator ("Administrator") will conduct a random drawing to select the Grand Prize winner from among all eligible non-winning entries received from all entry methods combined for all weekly Sweepstakes drawings combined.  Weekly Prize winners will be selected in drawings by the Administrator that will be held on or about 5 days after the end of each weekly Sweepstakes entry period, unless otherwise specified, from among all eligible entries received during such period. Administrator is independent of Sponsor, and Administrator's decisions are final and binding in all matters relating to this Sweepstakes. The potential Grand Prize and weekly Prize winners must comply fully with these Official Rules in order to be eligible to win and receive the respective prizes. Sponsor or Administrator will attempt to contact potential winners by telephone, mail and/or e-mail beginning up to ten (10) days after the drawing. If the potential winners cannot be contacted personally and directly within eight (8) days after Administrator's or Sponsor's first attempt at contacting such potential winners, such potential winners will be disqualified and alternate potential winners will be randomly drawn from all remaining eligible entries from the relevant period.  Potential winners are required to complete, sign and return an Affidavit of Eligibility, Liability Release, and, except for TN residents, a Publicity Release, within fourteen (14) days of date of initial written notification, or the prize will be forfeited and may be awarded to an alternate winner. If a prize is won by a minor, it will be awarded in the minor's behalf to a parent or legal guardian, who must sign and return all required documents.

11. By accepting a prize, the winners (or their parents or guardians if winners are minors) consent to the use of their names and/or likenesses for advertising, promotion, public relations or trade purposes in commerce and in any media worldwide without limitation or additional notice or compensation (such consent being optional for Tennessee residents).  By entering, entrants (or their parents or guardians if entrants are minors) agree to release and hold harmless the Sponsor, the Administrator, and each of their respective affiliates, subsidiaries, agents, agencies, distributors, retailers and promotion partners, as well as the directors, officers, employees and shareholders of each of the foregoing (including the Sponsor and the Administrator) from and against any and all liability, loss, damage or injury arising from or in connection with participation in the Sweepstakes or the acceptance, possession and/or use or misuse of any prize they may be awarded or their participation in prize-related activities, including but not limited to travel related thereto.

12. Any dispute arising out of the play of this Sweepstakes, or any disputes with site users which arise as a result of the use of the Sponsor's website, shall be resolved in the U.S. and shall be governed by the laws of the State of Illinois without regard to its conflicts of laws provisions. Any such claim shall be submitted to and maintained in the appropriate federal or state court located in Cook County, Illinois. If any provisions of these Official Rules are determined by a court of competent jurisdiction to be invalid or unenforceable, such determination shall not affect the validity or enforceability of any other provision.

13. For the names of all winners, send a self-addressed, stamped #10 size envelope, to be received by 5/15/06 to: Equal Flavor Sweepstakes Winners List, P. O. Box 6185, Buffalo Grove, IL 60089-6185. Names of winners may also be posted on Sponsor's Web Site.
